Delaware – Extension to File Form 1100 Corporate Income Tax Return for C Corporations from March 15 to April 18

The Division of Revenue posted Technical Information Memorandum 2017-1 granting an automatic extension of time from March 15 to April 18 to file Form 1100, Delaware Corporation Income Tax Return for C corporations for calendar year taxpayers to coincide with the deadline to file Form 1120, U.S. Corporation Income Tax Return. Delaware will enact legislation in 2017 to adopt the same due dates for business tax returns effective for tax years beginning after December 31, 2016.

Delaware – Grants Automatic Extension of Time to April 18th to file Income Tax Returns for C Corporations

Delaware – Legislation Prohibits Certain County Recorder Fee Collection

Senate Bill 297 (Chapter 381) signed by the governor and effective August 10 prohibits a county recorder from collecting a recording or filing fee from any common interest community or civic association under subsection 9607(b) when its respective county has elected to waive county recording fees for common interest communities or civic association.

Delaware – Insurance Commissioner Authorized to Take Action Against an Insurer’s Certificate of Authority to Transact Business for Violations of the Delaware Code

Senate Bill 231 (Chapter 376) signed by the governor and effective August 10 authorizes the Insurance Commissioner to take action against an insurer’s Certificate of Authority to transact business for violations of the Delaware Code outside of Title 18 but which specifically impose obligations upon insurance carriers.

The Secretary of State posted information on the amendments to the Delaware business entity statutes which were enacted in the recently ended General Assembly session and which take effect August 1.  The General Corporation Law amendment addresses mergers, new limitations on appraisal rights and expanded Chancery Court jurisdiction. Senate Bill 276 (Chapter 305) signed by the governor July 13 and effective August 1  adds statutory trust to the definition of person under the Uniform Commercial Code.

House Bill 367 (Chapter 269) signed by the governor June 22 and effective August 1 amends the Revised Uniform Limited Partnership Act to change the default rule that approvals and consents must be in writing.  House Bill 368 (Chapter 270) signed by the governor June 22 and effective August 1 amends the Revised Uniform Partnership Act to change the default rule that approvals or consents must be in writing.

Delaware – Legislation Amends the Statutory Trust Act

Senate Bill 243 (Chapter 304) signed by the governor July 13 and effective August 1 amends the Statutory Trust Act to among other things permit a statutory trust to elect in its certificate of trust not to be created as a separate legal entity and clarify that formation of a statutory trust is valid regardless of the sequence of the written trust instrument and the filing of the certificate of trust.

House Bill 372 (Chapter 271) signed by the governor June 22 and effective August 1 amends the Limited Liability Company Act to provide for automatic admission of assignees to single member LLCs;  elimination of the default rule for approvals or consents to be in writing; service of process on a series of a series LLC;  and cross-collateralization and cross-default by a series of a series LLC.
